NAME: The name of the complex shall be South Odisha Sahodaya Schools Complex.
OFFICE: The registered office of the Complex is C/o K C Public School, Tata Benz Square, Berhampur-760005, Ganjam, Odisha.This may be shifted to any other place or places as decided by the Complex from time to time.
INTERPRETATION: The following terms shall be interpreted as mentioned below:
- Complex means “South Odisha Sahodaya Schools Complex.”
- THE STATE means the state of Odisha.
- Membership Eligibility: Schools affiliated to CBSE in Odisha can be members of the Complex.
AIMS & OBJECTIVES: To act as liaison between CBSE and the member schools in implementation of its policies and projects. To enable sharing of experience and facilities. To promote inter- school collaboration. To encourage professionalism among teachers and educational innovations among institutions.
MEMBERSHIPS: Request to join the complex duly filled in prescribed application form for membership should be sent along with the prescribed membership fees to the Secretary, South Odisha Sahodaya Schools Complex and its acceptance shall be decided by the Complex in the meeting held after the receipt of application.
CESSATION OF MEMBERSHIP: Membership may be ceased to continue in the following circumstances:
- Submission of application for discontinuation of membership by the Head of the school.
- Acting against the interest of the Complex.
- Not attending the Complex meeting 5 times continuously.
- Non-payment of dues for two years continuously even after issuance of notice.
The notice for the termination of membership shall be communicated to the concerned member in writing after which the said member shall have the right to give his explanation to the Complex in this regard. The decision of Complex shall be final and binding to all the members.
GENERAL BODY: The minimum number of forming Complex is 5 members. Such association formed by the Head of the Schools is called General Body. This Body is the supreme authority of the Complex. It shall formulate, amend its bye-laws, elect its office bearers, pass Annual Budget of the Complex, ratify the resolutions passed in last General Body meeting.
The General Body shall meet at least once in a month. The last meeting of the year will be Annual General meeting.In case of Emergency it can be convened at any time with telephonic / emails and WhatsApp messages.
The management of the Complex and all its affairs shall be vested with the General Body. It shall exercise all such powers and do all such acts and things which are essential to attain the aims and objectives of the complex.
- The General Body shall accept new members and remove members who ceased to be the member as per clause 5(five) of the Bye-laws.
- To prepare Annual Budget for the Complex.
- To raise, maintain and invest funds in accordance with the rules and regulations of the Complex.
- To approve the expenditure of the Complex from time to time.
- Appoint staffs (employees) salaried or honorary to carry out day to day administration and implementation of its aims and objectives.
- To amend the bye-laws of the complex.
- To frame different rules and regulations for its smooth functioning.
- To purchase assets for the Complex.
- To fix the dates of different General Body Meeting.
- To form different Sub-committees and place its reports in the General Body meeting.
- To appoint qualified auditor and get its accounts audited.
- And to do all such acts or things which are essential for attaining the aims and objectives of the Complex as decided from time to time.
The members of the Complex in its ‘Annual General Body Meeting’ specially convened for holding election shall elect the following office bearers for a tenure of 2 years. The posts shall be ‘Honorary’. The following elected office bearers will constitute the Executive Body of the Complex.
- President
- Vice-President
- Secretary
- Jt. Secretary
- Treasurer
EXECUTIVE BODY: Executive Body means all the five office bearers as mentioned above.
POWERS AND FUNCTIONS OF THE EXECUTIVE BODY MEMBERS:
- PRESIDENT:The Chairman shall preside over all the meetings of the Complex & sub-committees formed by General Body to attain the specific purpose. He/She shall have the right to cast its vote in case of a tie. The resolutions taken by such sub-committee shall have to be ratified by General Body before action to be taken.
- VICE PRESIDENT: In the absence of the Chairman, the Vice-Chairman shall do all the acts or things vested with the Chairman.
- SECRETARY: The Secretary shall be the custodian of all the records and assets, the books of account and money receipt. The Secretary shall be the Chief Executive Officer of the Complex and look after the execution of the policies and decisions taken by the General Body / Complex.
- JOINT SECRETARY: In the absence of Secretary, the Joint Secretary shall do all such works of the Secretary and help the Executive Body in furthering the day-to-day affairs and management of the Sahodaya Schools Complex and assist the Secretary in all matters.
- TREASURER: The elected treasurer shall be responsible for maintenance of day-to-day accounts & prepare the final accounts at the end of financial year for auditing.
ELECTION: The office bearers shall continue to hold the office for a term of 2 years from the date of taking over the office. They will be elected on rotation basis. The Election of office bearers shall be held one month before the expiry of the term of Executive Body. The General Body shall prepare the Election process for its smooth conduct.
MEETINGS: All the meetings as defined in these bye-laws of Complex shall be convened by the Secretary in consultation with the Chairman.
EMERGENCY MEETING: The emergency meetings requested by a group of at least 3 members who submit the agenda of such meeting to the Secretary at least 15 days prior to date of emergency meeting. The Chairman of the Sahodaya Schools Complex will convene the meeting in consultation with Secretary after having satisfied with the reason of the calling the meeting. The Chairman will convey the reason not to conduct emergency meeting to such group within 7 days in case of rejection which shall be binding on the group.
NOTICE OF All TYPES OF MEETING: Not less than 7 days’ notice served through emails / WhatsApp messages shall be required for convening General Body.
QUORUM: No business shall be transacted in any meeting unless at least one third of total members shall form the Quorum within 30 minutes from the schedule time. If no Quorum is present as per the schedule, the meeting shall be adjourned to some other date as decided in consultation with the Chairman. Quorum is not required for adjourned meeting.
FUNDS: Funds of the Complex can be raised by collecting membership fee and annual fees from every member by 30th April of financial year. Funds can also be raised by getting aids from Govt. and non-Governmental agencies, donations and by other means not in contraventions of any provision of law of the land as decided by the Complex from time to time.
BANK ACCOUNT: Funds of the Sahodaya Schools Complex shall be deposited by opening an account in any Nationalized Bank or scheduled bank to be jointly operated by any two office bearers amongst the Chairman, Secretary and Treasurer.
AUDIT: The funds of the Complex shall be audited by a qualified chartered accountant appointed by Complex and report shall be placed in the General Body Meeting by 30th August every year. The financial year of Complex shall begin from 1st April & end on 31st March.
JURISDICTION: For purpose of jurisdiction of the Sahodaya Schools Complex shall be the place where its registered office situates from time to time. At present for the purpose of jurisdiction it shall be to Ganjam jurisdiction only.
